SoWerate Terms of Use

These Terms of Use govern access to and use of SoWerate, a structured source-of-wealth write-up workspace operated by Quotech Pte. Ltd. (âQuotechâ, âweâ, âusâ, or âourâ). By creating an account, joining a workspace, purchasing credits, or using SoWerate, you agree to these Terms.
1. Intended Use and No Advice
SoWerate helps relationship managers prepare structured, human-reviewed source-of-wealth write-ups before compliance review. It is an assistive drafting, structuring, calculation, and report-generation tool.
SoWerate does not provide legal, regulatory, tax, investment, credit, AML, compliance, suitability, or professional advice. It does not decide whether a client should be accepted, rejected, approved, onboarded, credited, reported, or escalated. Users and their firms remain responsible for all review, verification, judgement, approval, and submission decisions.
2. Accounts, Workspaces, and Users
Users must provide accurate account information and keep login credentials secure. Each workspace is controlled by its authorised owner or administrators, who are responsible for inviting users, assigning roles, managing access, and ensuring that users comply with these Terms and applicable internal policies.
Workspace owners and authorised administrators are responsible for reviewing team membership and removing users who should no longer have access. Users must not access or attempt to access any workspace, case, report, or data that they are not authorised to use.
3. Submitted Content and User Responsibilities
Users are responsible for the accuracy, completeness, legality, and appropriateness of all information submitted to SoWerate, including client particulars, background information, source-of-wealth experiences, calculation parameters, evidence references, listing notes, and review comments.
Users must ensure they have all necessary rights, consents, authorisations, and internal approvals before entering personal data, confidential information, source-of-wealth facts, or evidence descriptions into SoWerate.
For this version of SoWerate, the standard product flow does not require users to upload original client documents for OCR or automated document summarisation. If document upload or extraction features are enabled in the future or under a separate arrangement, users remain responsible for ensuring that such use is lawful and authorised.
4. AI-Assisted Outputs
SoWerate may use AI providers to help generate source-of-wealth write-ups and attention notes from saved case snapshots, calculation results, workspace settings, and Quotech operations prompts. AI outputs may contain errors, omissions, unsupported inferences, formatting issues, or wording that is unsuitable for a specific firm or client.
Users must independently review, verify, correct, and approve all generated content before relying on it or submitting it to any compliance, credit, onboarding, client-file, regulator, or third-party process. Generated write-ups are not a certification by Quotech that the underlying source-of-wealth explanation is complete, accurate, sufficient, or compliant.
Before external AI generation, SoWerate applies privacy-masking controls intended to reduce exposure of direct identifiers and sensitive values to the external provider. Users acknowledge that unmasked data may still be stored inside the SoWerate workspace and report database where required to provide the service.
5. Calculations and Exchange Rates
SoWerate may calculate foreign-exchange conversion, growth adjustment, valuation-month estimates, and related figures based on workspace settings, saved case inputs, and available exchange-rate history. These calculations are for structuring and drafting support only.
Users must independently verify calculations, exchange rates, assumptions, dates, currencies, compounding methods, valuation month, and final figures before using an output. Quotech does not guarantee that a calculation is appropriate for a specific firm, client, policy, regulator, or review purpose.
6. Credits, Top-Ups, Promotion Codes, and No Refunds
SoWerate uses workspace-level credits for paid write-up generation. Credits are shared within the workspace unless otherwise stated. Workspace owners or authorised billing users may purchase credit top-ups through Stripe Checkout.
Creating, editing, or saving a draft case does not by itself consume a credit. A credit is consumed when a paid initial write-up generation is successfully completed for a case, or at another generation point expressly shown in the product at the time of use. Follow-up reruns, if included, are limited to the allowance shown for that case and have no separate cash value.
Each credit top-up creates a separate credit lot with its own expiry date. Unless a different validity period is shown or agreed in writing, credits are valid for three calendar months from the successful purchase/payment date. Buying new credits does not extend, refresh, or restore older credit lots.
Credits are normally consumed from the soonest-expiring active lot first. Expired credits have no cash value and are not restored, refunded, extended, transferred, or exchanged except where required by law or expressly agreed by Quotech in writing.
Promotion codes, coupons, or discounts may be offered at Quotechâs discretion and must be applied through Stripe Checkout where available. A discount changes the checkout amount only. It does not change the number of credits purchased, credit expiry, usage rules, refund policy, or the non-cash nature of credits. Promotion codes cannot be applied retroactively unless Quotech agrees in writing.
Except where required by law or expressly agreed in writing, purchases are final and non-refundable. There are no refunds, exchanges, cash redemptions, or account credits for unused, partially used, expired, mistaken, duplicate, unwanted, or discounted credit purchases.
7. Payments and Third-Party Services
Payments are processed through Stripe or another payment provider. Payment providers may apply their own terms, privacy notices, verification checks, fraud controls, and settlement processes. SoWerate records payment and credit status needed to operate billing, but does not directly collect or store full card numbers.
SoWerate may rely on third-party providers for hosting, database, storage, email, logging, monitoring, security checks, AI processing, payment processing, support, and other operational services. Availability, latency, and provider behaviour may affect SoWerate features.
8. Data Protection and Security
Our Privacy Policy explains how data is collected, used, protected, shared, and retained. Users and workspace owners are responsible for ensuring that their use of SoWerate complies with applicable data-protection laws, confidentiality obligations, client mandates, firm policies, and regulatory expectations.
Users must not attempt to bypass authentication, workspace isolation, anti-abuse checks, rate limits, payment controls, or security measures. Public and authentication-sensitive forms may use Cloudflare Turnstile or similar checks to prevent abuse.
9. Acceptable Use
- Do not use SoWerate for unlawful, fraudulent, deceptive, harmful, infringing, or unauthorised purposes.
- Do not submit data that you are not authorised to process or disclose.
- Do not attempt to access another workspace, case, report, account, system, database, prompt, or administrative function without permission.
- Do not interfere with SoWerate security, availability, billing, AI-provider controls, or audit records.
- Do not use SoWerate output as a substitute for required professional, compliance, legal, credit, AML, regulatory, or internal review.
10. Records and Audit Trail
SoWerate may maintain audit records for account activity, workspace membership, role changes, case edits, calculation snapshots, generated outputs, prompt versions, billing events, credit usage, expiry, support tickets, and security events. These records help protect workspace integrity, support dispute handling, preserve operational history, and demonstrate how outputs were generated.
11. Availability, Changes, and Support
SoWerate may change, suspend, limit, or discontinue features from time to time, including beta, AI, document, billing, security, or reporting features. We may also update prompts, calculation methods, security controls, and provider integrations. Support is available through the product ticket/contact flow or by email at info@sowerate.com.
12. Intellectual Property
Quotech owns SoWerate, including its software, design, workflows, prompts, templates, calculation logic, documentation, branding, and other intellectual property, except for user-submitted content and third-party materials. Users may use generated outputs for their authorised internal business purpose, subject to these Terms and any separate agreement.
13. Suspension and Termination
We may suspend or terminate access, restrict features, or preserve records where we reasonably believe there is a breach of these Terms, security risk, payment issue, legal requirement, misuse, unauthorised access, or risk to SoWerate, Quotech, users, providers, or the public.
14. Disclaimers
SoWerate is provided on an âas isâ and âas availableâ basis to the maximum extent permitted by law. We do not warrant that SoWerate, calculations, AI outputs, reports, downloads, prompts, integrations, or third-party services will be error-free, uninterrupted, complete, accurate, secure, or suitable for any particular purpose.
15. Limitation of Liability
To the maximum extent permitted by law, Quotech is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, business interruption, regulatory outcome, client decision, compliance decision, or loss arising from reliance on SoWerate outputs or third-party services.
16. Separate Agreements
If Quotech and a customer enter into a separate written agreement or order form, that agreement may supplement or override these Terms for that customer to the extent expressly stated.
17. Governing Law and Disputes
These Terms are governed by the laws of Singapore, unless a separate written agreement states otherwise. The courts of Singapore have jurisdiction, subject to any dispute-resolution terms in a separate written agreement.
